Why does it matter whether a contract is bilateral or unilateral?
Great question — this shows up on almost every state exam. A bilateral contract involves a promise exchanged for a promise (e.g., a purchase agreement where the buyer promises to pay and the seller promises to convey title). A unilateral contract involves a promise exchanged for an act (e.g., an open listing where the seller only pays commission if an agent produces a buyer). The key test distinction: in a bilateral contract, both parties can sue for breach. In a unilateral contract, only the promisor is bound — the other party is free to act or not act.

So a listing agreement is always bilateral?
Not always. An exclusive right-to-sell listing is bilateral because the agent promises to market the property. But an open listing is unilateral — the seller only pays if a specific agent produces the buyer, and the seller isn't obligated to the agent until that happens. Exclusive agency listings are bilateral too. Expect the exam to test you on which listing type creates mutual obligations.
